1. Acceptance of Terms
By accessing our website at yukt.co.in or utilizing the YukT Unified Commerce OS SaaS dashboard, you agree to comply with and be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you hold the legal authority to bind such entity. If you do not agree to these terms, you must not access our software.
2. SaaS Platform & Account
YukT grants you a non-exclusive, non-transferable, revocable subscription license to access our platform applications (E-Commerce, CRM, and HRMS) strictly for internal corporate operations:
- Registration: You must provide accurate and complete details when setting up administrative accounts on our platform.
- Credential Security: You are fully responsible for preserving the confidentiality of credentials and for all actions occurring under your accounts.
- Suspension: We reserve the right to suspend or block access if any user credentials are leaked or if abuse is detected on your tenant infrastructure.
3. Acceptable Use Policy
You agree not to use the YukT platform to conduct any illicit, prohibited, or harmful actions. Prohibited actions include:
- Uploading malware, trojans, or sending unsolicited marketing spam via the CRM automated channel tools.
- Attempting to bypass access controls, execute penetration testing, or reverse-engineer the core storefront compiler and runtime code without prior authorization.
- Processing payment transactions for restricted merchandise or executing money-laundering campaigns.
- Using our automated HRMS modules to submit fraudulent payroll registry information to government authorities.
4. Fees & Billing Terms
Certain services are subject to recurring subscription fees, transaction rates, or custom consulting retainers:
- Invoicing: Payment terms are net 30 days unless otherwise structured in a custom Enterprise Agreement (EA) with the founder.
- Taxes: All subscription rates exclude applicable sales tax, VAT, or GST, which will be invoiced additionally based on jurisdiction.
5. Intellectual Property Rights
Except for your raw business transaction data and uploaded employee profiles, all elements of the YukT software suite—including source code, layouts, CSS templates, logos, designs, custom JS components, and database schemas—remain the exclusive intellectual property of YukT Inc. and its licensors. No title or property rights are transferred to you under these Terms.
6. Disclaimers & Warranties
The YukT platform and all custom development services are delivered "as is" and "as available". We disclaim all representations and warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that platform operations will be completely error-free or uninterrupted.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall YukT Inc. be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits, revenue, or business data), arising out of or related to the use or inability to use the software, even if advised of the possibility of such damages. Our maximum cumulative liability shall not exceed the amounts paid by you to YukT in the twelve (12) months preceding the claim.
8. Governing Law
These Terms of Service and any dispute arising out of your use of the YukT Unified Commerce OS shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
